Terms of Service

Effective Date: August 20, 2025

Welcome to Kanri, a product of v19 Corporation ("Kanri," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Kanri platform and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

1.1 General Use

You may use the Service only if you are legally capable of entering into binding contracts in your jurisdiction.

1.2 Minors

If you are under the legal age of majority, a parent or legal guardian must accept these Terms on your behalf. Parents/guardians are responsible for their child's use of the Service.

2. Accounts

  • To use the Service, you must create an account and provide accurate information.
  • You are responsible for keeping your login credentials secure and for all activities under your account.
  • Notify us immediately if you suspect unauthorized use of your account.

3. Platform Role

  • Kanri is a neutral facilitator that provides software for membership and payment management.
  • All transactions, billing, memberships, and communications are handled by your school or organization, not Kanri.
  • Kanri is not responsible for disputes, refunds, cancellations, or the accuracy of information provided by schools.

4. Payments

  • Your school may use Kanri to collect payments for services.
  • By using the Service, you agree that Kanri may process authorized charges on behalf of your school.
  • Any disputes, billing questions, or refund requests must be resolved directly with your school. Kanri bears no responsibility for such issues.

5. Acceptable Use

You may not use the Service to:

  • Violate any laws or regulations.
  • Interfere with the Service or disrupt others' use of it.
  • Attempt unauthorized access to our systems.
  • Upload or transmit malicious software, spam, or harmful content.

6. Suspension and Termination

  • We may suspend, restrict, or terminate your access to the Service at our discretion, including the right to:
    • Suspend or limit your account,
    • Nullify payment authorizations,
    • Withhold funds where necessary,
    • Comply with legal or regulatory obligations.
  • You may stop using the Service at any time.

7. Privacy

Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you agree to the practices described in that Policy.

8. Disclaimers and Limitation of Liability

  • The Service is provided "as is" and "as available," without warranties of any kind.
  • We do not guarantee uninterrupted access, accuracy, or specific outcomes from use of the Service.
  • To the maximum extent permitted by law, Kanri is not liable for any indirect, incidental, or consequential damages.
  • Our total liability to you will not exceed the amounts you have paid directly to Kanri (if any) in the twelve (12) months before the claim arose.

9. Indemnification

You agree to indemnify and hold harmless Kanri, its affiliates, and their officers, employees, and agents from any claims, damages, or expenses arising from the use of the platform or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms is governed by the laws of the Province of Ontario, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved exclusively in the courts of Ontario.

11. Changes to These Terms

We may update these Terms from time to time. Updates will be posted within the Service or on our website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
